These Terms of Service ("Terms") constitute a legally binding agreement between you and NextG Ventures LLC, doing business as Talio ("Talio," "we," "our," or "us"), governing your access to and use of the Talio application, website, and related services (collectively, the "Service").
By registering an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
01Description of Service
Talio is a personal finance, document organization, and wealth tracking platform. Depending on your subscription tier, the Service allows you to digitize receipts via AI, track cash flow, and sync financial accounts.

NO FINANCIAL OR TAX ADVICE: Talio is solely an organizational and informational tool. We are not financial advisors, CPAs, or tax professionals. Features such as the "CPA Engine," tax impact estimates, and Time-Weighted Return (TWR) tracking are provided for informational purposes only.
02User Accounts and Security
Eligibility
You must be at least 18 years old to use the Service.
Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials.
Shared Access
If your subscription tier allows you to invite "Partners" or "Advisors" to your household account, you (the account Owner) are solely responsible for the actions of those invited users and the data you choose to share with them.
03Subscriptions, Billing, and Cancellation
Subscription Tiers
Talio offers paid subscription plans (e.g., Talio Receipts, Talio Essentials, Talio Wealth). Features, account connection limits, and AI scan limits vary by plan.
Payment Processing
We use Stripe, Inc. to process all payments. By providing a payment method, you authorize us (via Stripe) to charge your recurring subscription fees until you cancel. Payment card numbers are collected and stored by Stripe; Talio does not keep full card numbers on our servers.
Cancellation
You may cancel your subscription at any time within your account settings. Cancellation will take effect at the end of your current paid billing period. Subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods.

The Service relies on third-party integrations to function fully.
Financial Data (Plaid)
We use Plaid Technologies, Inc. to connect to your financial institutions.
Cloud & Infrastructure
We utilize Amazon Web Services (AWS) for hosting and data processing.
05Acceptable Use
You agree not to use the Service to:
Illegal or abusive content
Upload illegal, fraudulent, or malicious documents or receipts.
Security or abuse
Attempt to bypass, exploit, or reverse-engineer our API or AI scan limits.
Scope of use
Use the Service for commercial enterprise accounting (intended for personal and household management).
06Intellectual Property
Our Property
Talio and NextG Ventures LLC retain all rights in the Service, including the underlying code, branding, and UI designs.
Your Property
You retain full ownership of all data and receipts you upload. You grant us a limited license to process this data solely to provide the Service to you.
07Limitation of Liability
Liability statement
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NEXTG VENTURES LLC OR ITS FOUNDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO FINANCIAL LOSSES OR TAX PENALTIES ARISING FROM YOUR USE OF THE SERVICE.
08Interruptions & Governing Law
As-Is Provision
The Service is provided on an "AS IS" basis. We do not guarantee error-free operation or permanent third-party connections.
Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia. Legal proceedings shall be brought exclusively in Virginia courts.
